Terms of Service

By accessing or using the QueChains platform, you confirm that you are at least 18 years of age, have the legal authority to enter into this agreement on behalf of yourself or the organization you represent, and agree to be bound by these Terms of Service and our Privacy Policy.

If you are accepting these Terms on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms. In such case, "you" and "your" refers to that entity.

For the purpose of these Terms, the following definitions apply:

• "Platform" — The QueChains web application, APIs, mobile applications, and all associated services accessible at quechains.com.
• "Organization" — A company, enterprise, government body, or legal entity that has registered a tenant account on the Platform.
• "User" — Any individual who accesses or uses the Platform under an Organization's account, including administrators, operators, and viewers.
• "Content" — All data, documents, shipment records, files, and information submitted to or generated by the Platform.
• "Subscription" — A paid or trial plan granting access to the Platform under the pricing tiers described in Section 6.
• "Order Data" — Purchase orders, shipment records, customs declarations, and logistics data processed through the Platform.
• "Third-Party Services" — External integrations including carriers, customs portals, payment processors, and tracking providers.

Account Registration

To use QueChains, your Organization must register an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate. You are responsible for maintaining the confidentiality of your credentials and for all activities that occur under your account.

• You must immediately notify us of any unauthorized use of your account at [email protected].
• One Organization account may provision multiple User accounts in accordance with your Subscription plan limits.
• You may not share login credentials between Users — each User must have a unique account.
• Multi-factor authentication (MFA) is strongly recommended and may be required for certain plan tiers or roles.

Permitted Use

QueChains is a B2B platform. Access is granted solely for lawful business purposes related to supply chain, logistics, procurement, customs compliance, and related operational activities. You agree to use the Platform only in compliance with all applicable laws and these Terms.

You agree not to use the Platform for any of the following prohibited activities:

• Circumventing, disabling, or otherwise interfering with security-related features of the Platform.
• Uploading, transmitting, or storing any content that infringes intellectual property rights, is unlawful, or contains malicious code.
• Attempting to gain unauthorized access to any part of the Platform, other Organizations' data, or QueChains's systems.
• Reverse engineering, decompiling, or disassembling the Platform or any part thereof.
• Using the Platform to facilitate transactions that violate OFAC, EU, UN, or other applicable sanctions regimes.
• Scraping, crawling, or otherwise extracting data from the Platform without express written permission.
• Reselling or sublicensing access to the Platform to third parties without prior written consent from QueChains.
• Using the Platform for fraudulent, deceptive, or misleading purposes.
• Submitting false or inaccurate customs, trade compliance, or shipment data.
• Engaging in any action that places a disproportionate or unreasonable load on our infrastructure.

QueChains IP

The Platform, including its software, algorithms, user interface, branding, trademarks, logos, documentation, and all associated intellectual property, is owned exclusively by Quecorex LLC and protected by copyright, trademark, and other applicable intellectual property laws. These Terms grant you no ownership rights whatsoever in the Platform.

Your Content & Data

You retain full ownership of all Content and Order Data you upload or generate on the Platform. By using the Platform, you grant Quecorex LLC a limited, non-exclusive, royalty-free license to process, store, and transmit your Content solely to the extent necessary to operate and provide the Platform and its services. We will never use your Content to train AI models without your explicit consent.

Feedback

If you submit ideas, suggestions, or feedback about the Platform ("Feedback"), you grant QueChains a perpetual, irrevocable, royalty-free license to use such Feedback without obligation or compensation to you.

Subscription Plans

Access to QueChains requires an active Subscription. Plans are offered on monthly or annual billing cycles and are subject to the feature limits and usage quotas described on our Pricing page. Current plans include Micro, Starter, Growth, Scale, and Enterprise tiers.

• Micro ($149/mo or $1,490/yr): Up to 50 shipments/month, 2 users, core features, email support.
• Starter ($299/mo or $2,990/yr): Up to 100 shipments/month, 3 users, core features, email support.
• Growth ($799/mo or $7,990/yr): Up to 1,000 shipments/month, 10 users, advanced analytics, priority support.
• Scale ($1,499/mo or $14,990/yr): Up to 5,000 shipments/month, 25 users, phone support, 99% SLA.
• Enterprise (Custom pricing): Unlimited shipments and users, dedicated CSM, 99.9% SLA, white-label options, SSO.

Payment & Renewals

Subscriptions are billed in advance on a recurring basis. Payments are processed by Stripe. Your subscription will automatically renew unless cancelled at least 30 days before the renewal date. Annual subscriptions are non-refundable except as required by applicable law.

Late Payments & Suspension

If payment fails, we will retry the charge and notify you. After 10 days of non-payment, we reserve the right to suspend access to the Platform. After 30 days of non-payment, we may terminate your account and delete your data in accordance with our data retention policy.

Your use of the Platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Platform, you consent to our collection, use, and processing of data as described in the Privacy Policy.

For enterprise customers requiring a Data Processing Agreement (DPA) in compliance with GDPR Article 28, please contact [email protected]. We will execute a DPA upon request at no additional cost.

• Each Organization's data is logically isolated in our multi-tenant architecture.
• We implement AES-256 encryption at rest and TLS 1.3 in transit for all data.
• You may export all your data at any time via the Platform's Data Export feature.
• Upon account termination, your data is purged within 30 days per our retention schedule.

The Platform integrates with third-party services including but not limited to carrier APIs, vessel tracking providers, payment processors, customs portals, and ERP systems. Your use of these integrations is subject to the third parties' own terms and privacy policies.

QueChains is not responsible for the availability, accuracy, or reliability of third-party data feeds (e.g., AIS vessel positions, flight tracking, FX rates). We make no warranty as to the completeness or timeliness of information sourced from external providers.

• Stripe governs all payment processing. QueChains does not store raw payment card data.
• Carrier API integrations are provided as a convenience. Carrier terms apply independently.
• Links to third-party sites on the Platform do not constitute endorsement by QueChains.

The Platform provides tools to assist with trade and customs compliance. However, you acknowledge and agree that:

• All customs declarations, HS code classifications, and trade documents submitted through the Platform are your sole responsibility. QueChains's compliance tools are advisory in nature.
• You are solely responsible for ensuring all shipments comply with applicable import/export laws, sanctions regimes, and trade regulations in all relevant jurisdictions.
• You must not use the Platform to facilitate trade in sanctioned goods, with sanctioned parties, or in violation of any applicable law.
• Fines, penalties, or legal liability arising from customs or trade compliance failures are solely your responsibility.

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

QUECHAIN DOES NOT WARRANT THAT:

• The Platform will be uninterrupted, error-free, or available at all times.
• The results obtained from use of the Platform will be accurate, reliable, or complete.
• Any errors in the Platform will be corrected within any specific timeframe.
• Third-party data feeds (tracking, rates, FX) will be accurate or up-to-date.

Some jurisdictions do not allow the exclusion of implied warranties. To the extent that applicable law does not permit this exclusion, such warranties are limited to the minimum extent permitted.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL QUECOREX LLC, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages.
• Loss of profits, revenues, data, goodwill, or business opportunities.
• Damages arising from reliance on the Platform for customs, logistics, or trade compliance decisions.
• Interruption to your supply chain operations due to Platform unavailability.

In no event shall QueChains's total aggregate liability to you for all claims arising out of or relating to these Terms or your use of the Platform exceed the greater of (a) the total fees paid by you to QueChains in the 12 months preceding the claim, or (b) USD $500.

You agree to defend, indemnify, and hold harmless Quecorex LLC and its officers, directors, employees, contractors, agents, licensors, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

• Your violation of these Terms or any applicable law or regulation.
• Your use of the Platform, including Order Data and Content you submit.
• Any customs, trade compliance, or sanctions violations attributable to your use of the Platform.
• Your infringement of any third-party intellectual property or other rights.
• Any misrepresentation you make in connection with your account or use of the Platform.

QueChains targets the following availability commitments per Subscription tier:

• Starter & Growth: 99.5% monthly uptime target (excluding scheduled maintenance windows).
• Enterprise: 99.9% monthly uptime SLA with defined remedies for downtime exceeding the SLA threshold.

Scheduled maintenance windows will be communicated via in-app notification and email with at least 48 hours advance notice. Emergency maintenance may occur without prior notice. SLA credits, where applicable, are the sole remedy for availability failures and must be requested within 30 days of the incident.

Termination by You

You may cancel your Subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period. No refunds are issued for the remaining period of a cancelled subscription, except where required by applicable law.

Termination by QueChains

We reserve the right to suspend or terminate your account immediately, without notice, if we determine in our sole discretion that you have:

• Violated these Terms or our Acceptable Use Policy.
• Engaged in fraudulent, illegal, or harmful activity on or through the Platform.
• Failed to pay applicable fees after the grace period has elapsed.
• Used the Platform in a way that poses a legal, reputational, or technical risk to QueChains.

Effect of Termination

Upon termination, your right to access the Platform ceases immediately. You may export your data for up to 30 days post-termination. After that window, all data will be permanently deleted in accordance with our Privacy Policy. Provisions that by their nature should survive termination will continue to apply.

We reserve the right to modify these Terms at any time. We will provide notice of material changes by:

• Sending an email notification to all registered Organization administrators at least 30 days before the changes take effect.
• Displaying a prominent in-app notice upon your next login.
• Updating the "Last Updated" date at the top of this document.

Your continued use of the Platform after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the modified Terms, you must stop using the Platform and cancel your Subscription before the effective date.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Arbitration

Any dispute arising out of or relating to these Terms or your use of the Platform shall be resolved by binding arbitration under the rules of the American Arbitration Association (AAA), conducted in English in Wilmington, Delaware. Judgment on the arbitration award may be entered in any court of competent jurisdiction.

Class Action Waiver

YOU AND QUECHAIN AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

Exceptions

Either party may seek emergency injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm. Nothing in this section limits either party's right to file a complaint with a government regulatory agency.

• Entire Agreement: These Terms, together with the Privacy Policy and any applicable Order Forms, constitute the entire agreement between you and QueChains regarding the Platform.
• Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
• Waiver: Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.
• Assignment: You may not assign or transfer these Terms without our prior written consent. QueChains may assign these Terms in connection with a merger, acquisition, or asset sale.
• Force Majeure: Neither party shall be liable for failures caused by events beyond their reasonable control, including acts of God, war, strikes, pandemics, or government action.
• No Partnership: Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you and QueChains.
• Notices: Legal notices to QueChains must be sent to [email protected] or to our registered address at Quecorex LLC, Delaware, United States.
